What is an insider-trade signal?

An insider-trade signal is a scored event derived from SEC Form 3/4/5 filings — when a company officer, director, or 10% owner buys or sells that company’s stock. It captures who traded, the dollar size, and whether several insiders moved together.

How to read the direction

Insider buying leans bullish and insider selling leans bearish, weighted by the dollar value of the transaction and whether multiple insiders traded the same way in a short window (a cluster). A single routine sale under a pre-set plan carries far less weight than several officers buying at once.

Where the data comes from

Every insider-trade signal is parsed directly from an SEC EDGAR Form 4 (and Forms 3 and 5) — the filing an insider must submit, generally within two business days of the trade. QuantConomy extracts the issuer, the insider and their role, the transaction type, and the dollar value, then scores it.

Why clusters matter

One insider selling is noise; four officers buying the same week is a pattern. The platform detects cluster buys and cluster sells across a company’s recent filings and scores them higher, because coordinated insider activity has historically been more informative than a single routine transaction.

Not always — but insiders tend to buy their own stock for one reason (they expect it to rise) and sell for many (taxes, diversification, pre-set plans). That asymmetry is why cluster buying is weighted as a stronger signal than isolated selling.
